1: DENOMINATION

The name of the association is:

AMICALE INTERNATIONALE DES SOUS-DIRECTEURS ET CHEFS DE RECEPTION DES GRANDS HOTELS.

2: AIMS

The aims of the Amicale are:

• to establish contact between the sections (heretofore and hereafter formed
• to preserve and foster fraternal sentiments among it's members
• to supervise and arbitrate any important decisions of the sections. For it's part, the International Committee shall submit to the sections; details on any important decisions it has had occasion to make
• to facilitate and strengthen the professional relationships between members, and to promote and publicise the importance of their profession.

3: REGISTERED OFFICE

The Registered Office of the A.I.C.R. is:

The administrative address is at the professional or private address of the International President. This address may be changed by simple resolution of the International Committee.

4: DURATION

The duration of the Amicale is unlimited.

5: COMPOSITION

The Amicale consists of:

• Members actively engaged in hotels, in conformity with Article 6, or who were so engaged at the time of joining, and who have paid their annual dues to the national Section
• Honorary members, proposed by each Section, and whose nomination has been accepted by the International Section
• Benefactor members.
• Honorary and benefactor members are exempt from payment of dues.

6: MEMBERSHIP REQUIREMENT

• To be admitted as a member of the Amicale one must have held a position in Front Office Management or as Assistant Manager, for a period of not less than one year, in a de-Luxe or First Class hotel or club offering accommodation.
• Membership applications are submitted, in writing, to the section of the applicant¹s choice, and accepted by the section, provided that it is satisfied that the membership criteria have been met.

7: MEMBERS OBLIGATIONS

 Active members undertake to:

• attend Regular and Special General Assemblies (in person or by proxy)
• attend working sessions
• facilitate and promote the Amicale's aims and development

8: RESIGNATION OR EXPULSION

To cease being members of the Amicale, without ending the existence of the Amicale itself.

• a member must send, by registered post, a written resignation to the President of his section, and his resignation to be accepted
• the Amicale reserves the right to remove from membership any member for any infringement of the Statutes of the Amicale, or for other serious reason. The national Committee will give the member fifteen days notice, by registered mail, to explain his conduct, either orally or in writing those members who have not paid the annual dues six months after the required date for payment.
• Right of Appeal: The expelled member may, within fifteen days of such notification, appeal, by registered letter to the President of the International Amicale for reversal of the decision.
  
  The International President convenes a meeting of the International Committee to consider such an appeal, the expelled member having been invited to attend the meeting, by registered letter posted eight days in advance thereof.

9: PERSONAL LIABILITY

No member of the Amicale is personally liable for it's commitments; only the Amicale is responsible, limited to it's assets.

10: ASSETS

 The assets of the International Amicale consist of: 

• Percentages of dues paid over by the national Sections
• Gifts
• Subsidies which it may receive
• Interest on and income from assets and securities which may hereafter be acquired by the Amicale

The reserve fund consists of:

• savings realised on the annual budget
• the buildings needed for the Amicale¹s operations. The said savings shall be invested by the treasurer, in government bonds or government guaranteed securities, registered in the name of the Amicale.

11: ACCOUNTING PROCEDURES

Current accounts of income and expenditure are kept by the general treasurer, who presents them to the Presidium for approval at the end of each year, and to the General Assembly every two years. The International fee, fixed in Swiss Francs, is the same for each member of each section.

Sections must send to the general treasurer, before 30 June each year, the amount corresponding to the number of their members. With the exception of the dispensations set out in Article 5, no exoneration will be accorded without the prior agreement of the International President.

All disagreements are to be settled by the Presidium, by a required majority of two thirds of it's members, the vote of the International President being prevalent. The International President may, after consultation with his committee and the Presidium, put to the General Assembly for approval, any proposal for modification to the international fee, according to exchange rates, or to needs.

12: INTERNATIONAL COMMITTEE

 The International Committee consists of 7 to 11 members, elected for a two year term, over the period between two regular General Assemblies. The President and Vice President(s) must, at the time of their election or re-election, hold positions in hotels in accordance with Article 6 of these statutes.

The President is elected during a General Assembly, by a majority of the members present or by proxy, either by secret vote or by a show of hands.

• He must then choose the members of his committee, and allot their functions
• He presents his committee to those members taking part in the General Assembly, for approval of the choice of persons and their functions. In the event of the death or resignation of one or more members, the President, after consultation with his committee, chooses replacements for the duration of his mandate. These nominations must be submitted for ratification by the Presidium at it's next meeting.

13: FUNCTIONS

The International President pursues the objectives of the Amicale and it's expansion. He is seconded by one or more Vice Presidents, as well as by other members of the committee, and in particular by:

• The General Secretary, in charge of everything concerning minutes of meetings, reports, correspondence, archives, etc., administrative questions and relations with all national Sections
• The General Treasurer, in charge of current accounts and management of the assets of the Amicale. He may not, however, dispose of assets constituting the reserve fund, without the authorisation of the presidium;
  
  a) He receives the share of the dues which all sections must send by 30 June each year, in conformity with Article
  
  b) He keeps proper records of his transactions, and reports to the President, members of the committee and the Presidium, and, finally, to the General Assembly, which, after verification and certification by the official auditor, approves his management. The secretaries assist the President and other members of the committee, as required. All decisions by the committee are taken by a majority of votes. In the event of division, the vote of the International President is prevalent.

14: POWERS OF THE PRESIDENT

The President convenes and chairs all membership and committee meetings. He represents the Amicale at all times, and has full authority for this purpose. In particular, he is empowered to represent the Amicale in court and court pleadings, both as plaintiff and as defendant, to take all appeals, and to apply for all writs of review and agree to any compromise.

In the case of appeal, he may act with the approval of a majority decision of the committee. In the event of absence or illness, he is replaced by a Vice President, and in the event of the latter¹s absence or illness, by the General Secretary.

15: THE PRESIDIUM

The Presidium constitutes the Board of Directors of the International Amicale. It consists of:

• The International President, who chairs and convenes the Presidium * The International Vice President or Vice Presidents
• The International General Secretary
• The International Treasurer
• The President of each section (member or affiliated), regardless of number. In the event of his unavailability, a Section President may nominate a qualified member of his committee to represent him. If necessary, the official auditor may be asked to attend meetings. Travel indemnity:

• When the International President convenes the Presidium, the International Amicale will reimburse travel expenses, on the basis of the minimum return fare between two European cities (the place of domicile of the participant and the city where the meeting takes place).
  
  Where appropriate, the International President, in agreement with the Vice President(s), general secretary and the treasurer, may accept the reimbursement of other expenses. If necessary, the sections may be asked to contribute to expenses.

   

16: INTERNATIONAL CONGRESS

At the same time as the regular biennial General assembly, convened and chaired by the elected International President, an International Congress is also organised. They should take place preferably in a city well known for it's hotel and tourist activity, and provide the occasion for:

• events and meetings between members, as well as with political and professional personalities, benefactors, etc
• a meeting of the Presidium, to examine the proposed agenda for the General Assembly, and consider possible candidates for the International Presidency put forward by the sections
• formal acceptance of new sections
• the election, or re-election, of the International President, in conformity with Article 12 of these statutes. A bi-lingual program, printed in French, the official language of the Amicale, and English, the working language of de luxe hotels, is prepared by the President, in collaboration with the International Committee and, if need be, in consultation with the section in which the congress is held.
  
  When finalised, the program, together with cost per person, is to be sent to the President of each sections, for distribution to their members. The list of members taking part in the congress, together with full payment, must be sent as early as possible to the International President, for integration into the budget for the congress.

17: REGULAR GENERAL ASSEMBLY

 QUORUM & MAJORITY The regular General Assembly of all Members of every section is convened every two years, and chaired by the International President. He sets out the achievements of his mandate, as well as projects for the future.

A notification, including the Agenda, is sent out to Members by the General Secretary, at least 15 days before the date fixed. Before the Meeting, the Roll is signed by members present, and the names of those who have provided a written proxy are added. The QUORUM is one-quarter of fully paid-up members present or represented.

DECISIONS are taken by simple majority. The regular General Assembly hears the report of the committee on its management and on the financial situation of the International Amicale. It approves or rectifies the current account, and votes the budget for the coming period. It proceeds with the election of the International President, and signifies approval of, or reservations concerning, members of the International Committee.

18: SPECIAL GENERAL ASSEMBLY

In case of necessity or at the request of the President of a section who has received a written request signed by one-quarter of its members, the International President may, in accordance with Article 17, convene a Special General Assembly.

For valid discussion, one-half of the Members must be present or represented at the Special General Assembly. Any modifications to the Statutes must be voted by two-thirds of the Members present or represented. Other decisions are taken by simple majority.

19: POWERS OF THE GENERAL ASSEMBLY

 The Assembly has supreme authority over all questions relating to the smooth functioning of the Amicale International and sections). It gives such instructions as may be necessary to the President, the General Secretary and the General Treasurer, to effect any operation coming within the objectives of the Amicale and not contrary to the Law, for which the dispositions of the statutes may be insufficient.

20: POWERS OF THE INTERNATIONAL COMMITTEE

 The International Committee may authorise any action not reserved to the Presidium or to the General Assembly. Following a majority vote, it may prohibit the President, the General Secretary, or any other member, from taking a step falling within its prerogative according to the statutes, but with the advisability of which it disagrees.

21: INTERNAL RULES FOR SECTIONS

A set of rules for the internal administration of all sections, member or affiliated, of the International Amicale, has been drawn up by the International Committee.

22: MEMBERSHIP OF NEW SECTIONS

 The A.I.C.R. is open to all countries or regions noted for hotel or tourist activity, in any part of the world. Colleagues outside of France, occupying positions in de Luxe or First Class hotels, who have decided to form a group, may request the International President to authorise the creation of a new Section.

To this end and on condition that local legislation permits it, they must first agree officially to conform to the statutes in force, and provide a complete list of their members. The International President will submit the candidature to the International Committee, and then to the Presidium, for acceptance, before putting it on the agenda of the next General Assembly, which must approve admission by a majority of the members present or represented.

23: TERM OF OFFICE

 The normal term of office is two years. it'starts on the 1st of January and finishes on the 31st of December of the following year.

24: INTERNATIONAL ANNUAL

The edition of the new Annual of the A.I.C.R. is the responsibility of the outgoing or re-elected President. The Annual contains easily found, up-to-date, information on the professional activity of each member in each section, plus an alphabetical list giving the page for each entry. As well as a preface and a short history of the Amicale, the annual contains the text of the statutes, with an English translation.

For each international congress, the President will arrange for the printing of a bi-lingual French/English brochure-program. Each section is free to print its own annual, to appear alternately with the international annual, but which in no circumstances replaces the latter. Printing and production costs of all these publications must be covered by the sale of high quality publicity, commensurate with de luxe hotel industry.

25: DISSOLUTION OF A SECTION

In the event of voluntary or involuntary dissolution of a section, the International President convenes a meeting of the Presidium and the official auditor, to take action on the transmission of the section¹s assets, which revert to the International Amicale. The International President is responsible for all legal formalities.

26: DISSOLUTION OF THE AMICALE

In the event of voluntary or involuntary dissolution of the International Amicale, a special General Assembly is convened, at which the official Auditor is present.

• It decides on the disposal of the assets of the Amicale, but may not return to Members other than their contributions
• It designates a recognised charitable organisation, which shall receive the surplus assets, after payment of all the Amicale's debts and expenses, and all the costs of liquidation
• It appoints one or more members of the Amicale, who shall be given all necessary powers to handle the liquidation.
  

27: FORMALITIES

The International President is responsible for all reporting and recording of formalities required by law. 28: LITIGATION The court having jurisdiction over all actions concerning the Amicale is the local court of it's registered office.
